Welcome to Warranty Guru. Please read these Terms of Service ("Terms") carefully as they contain important information regarding your legal rights, remedies, and obligations. By accessing or using the Warranty Guru platform, you agree to comply with and be bound by these Terms.

1. Acceptance of Terms

By accessing or using Warranty Guru's website, platform, or services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to all the terms and conditions, you may not access or use the Services.

2. Description of Services

Warranty Guru provides a platform for tracking and managing device warranties. Our Services include, but are not limited to:

• Warranty lookup for devices from manufacturers including HP, Dell, Lenovo, and Microsoft
• Integration with PSA (Professional Services Automation) tools
• Credit-based warranty checks
• Dashboard reporting on warranty status

3. Account Registration

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Credit-Based System

Our Services operate on a credit-based system. By purchasing and using credits, you acknowledge and agree to the following:

1. Credits are non-refundable once used for warranty lookups
2. Unused credits remain valid for 12 months from the date of purchase
3. We reserve the right to modify credit pricing with reasonable notice
4. Free credits are provided as a promotional offer and may be subject to additional terms

5. Payment Terms

You agree to pay all fees associated with your use of the Services. Fees for purchasing credits are due at the time of purchase. We use third-party payment processors and do not store your full payment information on our servers.

All fees are exclusive of taxes, which you are responsible for paying. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

6. User Conduct

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit any material that is defamatory, offensive, or otherwise objectionable
• Send unauthorized commercial communications
• Access or attempt to access another user's account without permission
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Circumvent, disable, or otherwise interfere with security-related features of the Services
• Use automated scripts to collect information from or otherwise interact with the Services

7. Intellectual Property Rights

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, data compilations, and software, are the exclusive property of Warranty Guru or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes in accordance with these Terms.

8. Data Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your information.

9. Third-Party Integrations

The Services may integrate with third-party services, including PSA tools and device manufacturer warranty databases. Your use of such third-party integrations is subject to their respective terms of service and privacy policies. We are not responsible for the practices of these third parties.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the functions contained in the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services or servers that make them available are free of viruses or other harmful components.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WARRANTY GURU, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO WARRANTY GURU DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO SUCH LIABILITY.

12. Indemnification

You agree to indemnify, defend, and hold harmless Warranty Guru, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any rights of another.

13. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If your account is terminated, we may delete any content or information associated with your account.

14. Modifications to the Services

We reserve the right to modify, suspend, or discontinue the Services (or any part or content thereof) at any time with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. All changes will be effective upon posting on our website. You are responsible for reviewing these Terms periodically for changes. Your continued use of the Services following the posting of changes constitutes your acceptance of such changes.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Warranty Guru is established, without regard to its conflict of law provisions.

17. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the jurisdiction where Warranty Guru is established.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Warranty Guru regarding the Services and supersede all prior agreements and understandings, whether written or oral.
